(\u201c<\/span><strong>PocketHealth<\/strong><span style=\"font-weight: 400;\">\u201d) and the entity agreeing to an Order Form referencing this Agreement<\/span> <span style=\"font-weight: 400;\">(\u201c<\/span><strong>Customer<\/strong><span style=\"font-weight: 400;\">\u201d). PocketHealth and Customer may be referred to herein collectively as the “<\/span><strong>Parties<\/strong><span style=\"font-weight: 400;\">” or individually as a “<\/span><strong>Party<\/strong><span style=\"font-weight: 400;\">.”<\/span><\/p>\n<p><strong>WHEREAS<\/strong><span style=\"font-weight: 400;\">:<\/span><\/p>\n<ol style=\"list-style-type: upper-alpha;\">\n<li>PocketHealth is a technology provider, offering a cloud platform that allows patients to electronically request and receive certain types of health records from their healthcare providers (the \u201c<strong>Platform<\/strong><span style=\"font-weight: 400;\">\u201d). Patients can view, share, access and store those records in their account on the Platform. PocketHealth also offers various services to healthcare providers to facilitate communication and sharing records between them and their patients and\/or other healthcare providers. The Platform, and the services offered by PocketHealth to its customers, are further described in the applicable Order Form(s) (as later defined); <\/span><\/li>\n<li>Customer is a healthcare provider that offers, amongst other services, medical imaging services; and<\/li>\n<li>Customer desires to access the Services, and PocketHealth desires to provide Customer with access to the Services, subject to the terms and conditions of this Agreement.<\/li>\n<\/ol>\n<p><strong>NOW, THEREFORE<\/strong><span style=\"font-weight: 400;\">, in consideration of the mutual covenants, terms and conditions set forth herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:<\/span><\/p>\n<ol>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><strong>Definitions and Interpretation.<\/strong>\n<ol>\n<li><span style=\"font-weight: 400;\">\u201c<\/span><strong>Account<\/strong><span style=\"font-weight: 400;\">\u201d means a Patient\u2019s account on the Platform;<\/span><\/li>\n<li><span style=\"font-weight: 400;\">\u201c<\/span><strong>Customer Data<\/strong><span style=\"font-weight: 400;\">\u201d means all data submitted, uploaded or otherwise transmitted through the Services (including PHI), or made available to PocketHealth, by or on behalf of Customer or any User;<\/span><\/li>\n<li><span style=\"font-weight: 400;\">\u201c<\/span><strong>Customer Systems<\/strong><span style=\"font-weight: 400;\">\u201d means Customer’s information technology infrastructure, including computers, software, hardware, databases, electronic systems (including database management systems), and networks, whether operated directly by Customer or through the use of third-party products or services;<\/span><\/li>\n<li><span style=\"font-weight: 400;\">\u201c<\/span><strong>Documentation<\/strong><span style=\"font-weight: 400;\">\u201d means user documentation relating to the Services;<\/span><\/li>\n<li><span style=\"font-weight: 400;\">\u201c<\/span><strong>Effective Date<\/strong><span style=\"font-weight: 400;\">\u201d means the effective date of the applicable Order Form;<\/span><\/li>\n<li><span style=\"font-weight: 400;\">\u201c<\/span><strong>HIPAA<\/strong><span style=\"font-weight: 400;\">\u201d means the <\/span><i><span style=\"font-weight: 400;\">Health Insurance Portability and Accountability Act of 1996<\/span><\/i><span style=\"font-weight: 400;\">, as amended from time to time, and includes all regulations made under it;<\/span><\/li>\n<li><span style=\"font-weight: 400;\">\u201c<\/span><strong>Law<\/strong><span style=\"font-weight: 400;\">\u201d means any statute, ordinance, regulation, rule, code, constitution, treaty, common law, governmental order, or other requirement or rule of law of any governmental authority;<\/span><\/li>\n<li><span style=\"font-weight: 400;\">\u201c<\/span><strong>Malicious Code<\/strong><span style=\"font-weight: 400;\">\u201d means any virus, worm, logic bomb or any other code designed to contaminate other device programs or data, consume device resources, modify, destroy, record, or transmit data in a manner not intended by the device, system, or network, or in some other fashion disrupt the normal operation of a device, system or network;<\/span><\/li>\n<li><span style=\"font-weight: 400;\">\u201c<\/span><strong>Order Form<\/strong><span style=\"font-weight: 400;\">\u201d means an ordering document executed by the Parties that references this Agreement and describes certain business terms related to Customer\u2019s purchase of Services;<\/span><\/li>\n<li><span style=\"font-weight: 400;\">\u201c<\/span><strong>Patient<\/strong><span style=\"font-weight: 400;\">\u201d means a patient of Customer;<\/span><\/li>\n<li><span style=\"font-weight: 400;\">\u201c<\/span><strong>person<\/strong><span style=\"font-weight: 400;\">\u201d means an individual, corporation, partnership, unlimited liability company, governmental authority, unincorporated organization, trust, association, or any other entity;<\/span><\/li>\n<li><span style=\"font-weight: 400;\">\u201c<\/span><strong>Privacy Laws<\/strong><span style=\"font-weight: 400;\">\u201d means HIPAA and applicable state privacy Laws;<\/span><\/li>\n<li><span style=\"font-weight: 400;\">\u201c<\/span><strong>Protected Health Information<\/strong><span style=\"font-weight: 400;\">\u201d or \u201c<\/span><strong>PHI<\/strong><span style=\"font-weight: 400;\">\u201d means protected health information as defined under HIPAA, that is provided or made available to PocketHealth by Customer;<\/span><\/li>\n<li><span style=\"font-weight: 400;\">\u201c<\/span><strong>Service Term<\/strong><span style=\"font-weight: 400;\">\u201d means the term of the applicable Order Form, and includes both the initial service term and any renewal term(s), as applicable;<\/span><\/li>\n<li><span style=\"font-weight: 400;\">\u201c<\/span><strong>Services<\/strong><span style=\"font-weight: 400;\">\u201d means the services purchased by Customer under an Order Form;<\/span><\/li>\n<li><span style=\"font-weight: 400;\">\u201c<\/span><strong>Statement of Work<\/strong><span style=\"font-weight: 400;\">\u201d means the statement of work a statement of work appended to an Order Form to facilitate the implementation and ongoing provision of the Services, and includes a shared implementation plan and estimated timelines, and the technical scope; and<\/span><\/li>\n<li><span style=\"font-weight: 400;\">\u201c<\/span><strong>User<\/strong><span style=\"font-weight: 400;\">\u201d means an individual authorized by Customer to access or use the Services.<\/span><\/li>\n<\/ol>\n<p>For purposes of this Agreement, the words \u201cinclude\u201d, \u201cincludes\u201d and \u201cincluding\u201d are deemed to be followed by the words \u201cwithout limitation\u201d.<\/p>\n<p>Unless otherwise stated, all dollar amounts referred to in this Agreement are stated in United States currency.<\/li>\n<li><strong>Access and Use.<\/strong><span style=\"font-weight: 400;\"> Subject to the terms and conditions of this Agreement, including the payment of all applicable Fees (as later defined), PocketHealth hereby grants to Customer and each User, during the term of this Agreement:<\/span>\n<ol>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">a non-exclusive, non-transferable (except in compliance with Section 27) right to access and use the Services in accordance with this Agreement, solely for Customer\u2019s internal use;<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">strictly with respect to the on-site application provided by PocketHealth to Customer, to be hosted locally on a virtual machine provisioned by Customer, a non-exclusive, non-transferable (except in compliance with Section 27), non-sublicensable license to use such on-site application solely for Customer\u2019s internal use in connection with the Services; and<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">a non-exclusive, non-transferable (except in compliance with Section 27), non-sublicensable license to use the Documentation solely for Customer\u2019s internal use in connection with the Services.<\/span><\/li>\n<\/ol>\n<p>Except for the limited rights granted in this Section, no other right, title or interest in PocketHealth\u2019s intellectual property rights or technology is granted and all such rights are hereby expressly reserved.<\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><strong>Changes.<\/strong><span style=\"font-weight: 400;\"> PocketHealth may, in its sole discretion, make changes to the Services that it deems necessary or useful to:<\/span>\n<ol>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">maintain or enhance the quality of its services, or the cost efficiency or performance of the Services; provided that the changes will not materially decrease the core functionality of the Services; or<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">to comply with applicable Law.<\/span><\/li>\n<\/ol>\n<p><span style=\"font-weight: 400;\">Without restricting the foregoing, either Party may request changes to the Services. The Parties shall evaluate and, if agreed in writing, implement all such requested changes. <\/span><span style=\"font-weight: 400;\">Customer acknowledges that additional Fees may apply.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><strong>Subcontractors.<\/strong> PocketHealth may, in its sole discretion, engage third parties to perform Services (each a \u201c<strong>Subcontractor<\/strong>\u201d). PocketHealth may authorize a Subcontractor to process PHI if PocketHealth enters into a written agreement with the Subcontractor that contains terms at least as protective of the PHI as those set out in this Agreement. Customer may review a list of PocketHealth\u2019s Subcontractors upon request.<\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><strong>Use Restrictions.<\/strong><span style=\"font-weight: 400;\"> Customer shall not, and shall not permit any other person (including any User(s)) to, access or use the Services except as expressly permitted under this Agreement. Without restricting the foregoing, Customer shall not, except as this Agreement expressly permits:<\/span>\n<ol>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">copy, modify, translate or create derivative works of the Services, Platform or Documentation, in whole or in part;<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">rent, lease, lend, sell, license, sublicense, assign, distribute, publish, transfer, or otherwise make available or commercially exploit the Services, Platform or Documentation;<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">reverse engineer, disassemble, decompile, decode, adapt, or otherwise attempt to deconstruct, derive or gain access to the Services or Platform in whole or in part (including the implementation thereof);<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">damage, destroy, disrupt, disable, impair, interfere with, or otherwise impede or harm in any manner the Services, Platform or PocketHealth\u2019s provision of services to any third party, in whole or in part;<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">remove any proprietary notices from the Services, Platform or Documentation;<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">access or use the Services or Platform for purposes of competitive analysis, the development, provision or use of a competing software service or product, or any other purpose that is to PocketHealth\u2019s detriment or commercial disadvantage;<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">attempt to gain unauthorized access to, interfere with, damage or disrupt any parts of the Services or Platform, including by introducing viruses or other harmful code; or<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">use the Services, Platform or Documentation in any manner or for any purpose that infringes, misappropriates, or otherwise violates any intellectual property right or other right of any person, or that violates any applicable Law.<\/span><\/li>\n<\/ol>\n<p>If Customer (including any User) is using the Services in a manner that, in PocketHealth\u2019s sole discretion, causes or is likely to cause significant harm to PocketHealth or the Services or Platform, or otherwise threatens the security, integrity or availability of the Services or Platform, then PocketHealth may suspend or terminate Customer\u2019s access to the Services. PocketHealth will use commercially reasonable efforts under such circumstances to (i) provide Customer with notice and an opportunity to remedy such violation or threat prior to any such suspension or termination, and (ii) if applicable, remove a suspension as quickly as practicable after the circumstances leading to the suspension have been resolved. Without restricting the foregoing, PocketHealth may also suspend or terminate Customer\u2019s access to the Services if PocketHealth is required by law to do so. This Section does not limit any of PocketHealth\u2019s other rights or remedies, whether at law, in equity, or under this Agreement.<\/p>\n<p>Customer is responsible and liable for all uses of the Services, Platform and Documentation resulting from access provided by Customer, directly or indirectly, whether such access or use is permitted by or in violation of this Agreement. Without restricting the foregoing, Customer is responsible for all activity on its Users\u2019 accounts. Customer will ensure that its Users are aware of and bound by the obligations and restrictions stated in this Agreement and Customer will be responsible for breach of any such obligation or restriction by a User.<\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><strong>Customer Obligations<\/strong>. Customer shall at all times during the term of this Agreement:\n<ol>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">cooperate with PocketHealth and facilitate the provision of the Services;<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">adhere to the system requirements specified by PocketHealth in order to access and use the Services;<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">implement and maintain physical, administrative and technical controls, screening and security procedures and other safeguards necessary to ensure all Users maintain the security of their access credentials, and to protect against unauthorized access to, or use of the Services;<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">provide PocketHealth personnel with such access to Customer\u2019s premises and Customer Systems as is necessary for PocketHealth to provide the Services; and<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">be solely responsible for all (i) Customer Data, (ii) Customer Systems, and (iii) access and use of the Services directly or indirectly by or through the Customer Systems or its or its Users\u2019 access credentials, with or without Customer\u2019s knowledge or consent, including all results obtained from, and all conclusions, decisions, and actions based on, such access or use.<\/span><\/li>\n<\/ol>\n<\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><strong>Fees and Expenses<\/strong><span style=\"font-weight: 400;\">.<\/span>\n<ol>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">In consideration for the Services, Customer agrees to pay PocketHealth the fees set out in the applicable Order Form(s) (the \u201c<\/span><strong>Fees<\/strong><span style=\"font-weight: 400;\">\u201d), without set-off or deduction. Except as expressly stated in this Agreement or the applicable Order Form(s), Fees are non-cancelable and non-refundable.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">Fees are due within 30 days of the applicable invoice, unless otherwise specified in the Order Form. Payment processing fees charged by third parties are the sole responsibility of Customer. If Customer fails to make any payment of undisputed amounts when due, without limiting PocketHealth\u2019s other rights and remedies: (i) PocketHealth may charge interest on the past due amounts at the rate of 1.5% per month (being 18% per annum) or, if lower, the maximum amount permitted under applicable Law; (ii) Customer shall reimburse PocketHealth for all reasonable costs incurred by PocketHealth in collecting any late payments or interest, including legal fees, court costs, and collection agency fees; and (iii) if such failure continues for 30 days or more, PocketHealth may suspend Customer\u2019s access to the Services until such amounts are paid in full.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">All Fees and other amounts payable by Customer under this Agreement and\/or any Order Form are exclusive of any taxes, levies, duties, or similar governmental assessments of any nature, including, for example, value-added, sales, use or withholding taxes, assessable by any jurisdiction (collectively, \u201c<\/span><strong>Taxes<\/strong><span style=\"font-weight: 400;\">\u201d). Customer is responsible for paying all Taxes with no reduction or set-off in Fees. If Customer is legally obligated to withhold any Taxes from any Fees payable to PocketHealth under this Agreement and\/or any Order Form, Customer will gross up the fees paid to PocketHealth such that PocketHealth is paid the full Fees due. If PocketHealth has the legal obligation to pay or collect Taxes for which Customer is responsible under this Section, PocketHealth will invoice Customer, and Customer will pay that amount unless Customer provides PocketHealth with a valid tax exemption certificate authorized by the appropriate taxing authority. For clarity, PocketHealth is solely responsible for taxes assessable based on PocketHealth\u2019s net income, payroll, and assets.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">PocketHealth may modify its Fees or introduce new fees. Any new or revised fees will not take effect during Customer\u2019s then-current Service Term and will only be effective if the Parties choose to enter into an Order Form that includes the new or revised fees for a new Service Term. Customer has the right to choose not to renew or enter into an Order Form for a new Service Term if it does not agree with any new or revised fees.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">Customer agrees that it shall reimburse PocketHealth for expenses approved by Customer in writing.<\/span><\/li>\n<\/ol>\n<\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><strong>Term & Termination.<\/strong>\n<ol>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">Customer\u2019s access and use of the Services, and the term of each Order Form, shall begin on the applicable Effective Date and continue for the duration of the applicable Service Term. This Agreement will become effective on the Effective Date of the first Order Form entered into by the Parties, and shall continue in effect until the expiration or termination of the last Service Term. Subscriptions to the Services will renew as described in the applicable Order Form.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">In addition to any other express termination right set forth in this Agreement, either Party may terminate this Agreement upon written notice to the other Party if such other Party:<\/span>\n<ol>\n<li style=\"font-weight: 400;\" aria-level=\"3\"><span style=\"font-weight: 400;\">materially breaches this Agreement and such breach is not cured within 30 days after written notice thereof; or<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"3\"><span style=\"font-weight: 400;\">has ceased to operate in the ordinary course, made an assignment for the benefit of creditors or similar disposition of such Party\u2019s assets, or become the subject of any bankruptcy, reorganization, liquidation, dissolution or similar proceeding that is not dismissed within 180 days.<\/span><\/li>\n<\/ol>\n<\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">Upon expiration or termination of this Agreement (or an Order Form, as applicable):<\/span>\n<ol>\n<li style=\"font-weight: 400;\" aria-level=\"3\"><span style=\"font-weight: 400;\">Customer shall cease to have any rights to use the Services, and shall immediately cease use of the Services and return any Documentation to PocketHealth;<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"3\"><span style=\"font-weight: 400;\">Customer shall be responsible for paying to PocketHealth all outstanding Fees and expenses due and not yet paid for the then-current Service Term(s) up to the effective date of expiration or termination;<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"3\"><span style=\"font-weight: 400;\">each Party shall promptly return to the other Party all copies, whether in written, electronic, or other form or media, of such other Party\u2019s Confidential Information (as later defined), or destroy all such copies and certify in writing to such other Party that such Confidential Information has been destroyed; and<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"3\"><span style=\"font-weight: 400;\">upon Customer\u2019s written request (and unless Customer requests earlier deletion in writing) PocketHealth will permanently delete all Customer Data.<\/span><\/li>\n<\/ol>\n<\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">Any right or obligation of the Parties in this Agreement which, by its nature, should survive termination or expiration of this Agreement, will survive any such termination or expiration.<\/span><\/li>\n<\/ol>\n<\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><strong>Intellectual Property.<\/strong>\n<ol>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">Customer acknowledges and agrees that all right, title and interest in and to the Services, Platform and Documentation are the sole and exclusive property of PocketHealth and\/or its third-party licensors. PocketHealth reserves all rights not expressly granted to Customer hereunder, and for greater certainty, PocketHealth shall retain all intellectual property rights in and to the Services, Platform and Documentation.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">PocketHealth acknowledges and agrees that all right, title and interest in and to the Customer Data are the sole and exclusive property of Customer and\/or the applicable Patient(s). Customer hereby irrevocably grants all such rights and permissions in or relating to Customer Data as are necessary or useful to PocketHealth, its Subcontractors, and PocketHealth\u2019s personnel to exercise their respective rights and perform their respective obligations under this Agreement.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">Customer (including Users) may, at its discretion, provide to PocketHealth suggestions, ideas, comments, enhancement or correction requests, or other feedback with respect to the Services or Platform (collectively, \u201c<\/span><strong>Feedback<\/strong><span style=\"font-weight: 400;\">\u201d). PocketHealth may use such Feedback and incorporate it in PocketHealth\u2019s products, technologies and services without any obligation or restriction. Customer hereby grants to PocketHealth and its assigns a royalty-free, worldwide, perpetual, irrevocable, fully transferable and sublicensable right and license, if any, to use, disclose, reproduce, modify, create derivative works from, display, and otherwise distribute and exploit the Feedback, without obligation or restriction. For greater certainty, Customer is not entitled to any compensation or reimbursement of any kind under any circumstances for any Feedback.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">PocketHealth may collect and analyze information relating to the use, configuration and performance of the Services or Platform (\u201c<\/span><strong>Usage Data<\/strong><span style=\"font-weight: 400;\">\u201d) for purposes of providing and improving PocketHealth\u2019s products and services. Customer agrees that PocketHealth may use aggregated or de-identified Usage Data for any business purpose during or after the term of this Agreement, including to develop and improve PocketHealth’s products and services; provided that, in no event will any use of Usage Data result in the identification of Customer to any third party. For the avoidance of doubt, Usage Data does not include any PHI.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">PocketHealth will provide Customer with ongoing access to aggregated usage statistics suitable for the purposes of business planning, as well as study-level logs suitable for the purposes of an audit.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">Customer grants to PocketHealth a non-exclusive, non-transferable, non-sublicensable, royalty-free license during the term of this Agreement to use, copy and distribute Customer\u2019s name, logo, and trademarks (collectively, \u201c<\/span><strong>Customer Marks<\/strong><span style=\"font-weight: 400;\">\u201d) solely for the limited purpose of displaying the Customer Marks within the user interface of the Services or the Platform as configured for Customer, and solely to the extent necessary to provide the Services (which for clarity, may include rebranding or customizing the Platform or other components of the Services using Customer\u2019s name, trademark and\/or logo, as further described in the applicable Order Form and Statement of Work (collectively, the \u201c<\/span><strong>White-Labeled Services<\/strong><span style=\"font-weight: 400;\">\u201d)).<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">This subsection applies solely to the extent the Services include White-Labeled Services. PocketHealth grants to Customer the right and license to grant licenses to the White-Labeled Services, in whole or in part, to third party end users, provided that each such end user must agree (i) to terms that protect PocketHealth\u2019s ownership of the applicable Services, Platform and\/or Documentation, and that are no less protective of PocketHealth than PocketHealth\u2019s standard terms then in effect, and (ii) to only use the applicable Services, Platform and\/or Documentation in accordance with such terms and for no other purpose.<\/span><\/li>\n<\/ol>\n<\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><strong>Confidentiality.<\/strong>\n<ol>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">\u201c<\/span><b>Confidential Information<\/b><span style=\"font-weight: 400;\">\u201d means all information of any kind disclosed by a Party (the “<\/span><b>Disclosing Party<\/b><span style=\"font-weight: 400;\">\u201d) to the other Party (the \u201c<\/span><b>Receiving Party<\/b><span style=\"font-weight: 400;\">\u201d), whether orally or in writing, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and\/or the circumstances of the disclosure. For greater certainty, and without restricting the foregoing, Customer\u2019s Confidential Information may include PHI. Notwithstanding the foregoing, Confidential Information does not include information that:<\/span>\n<ol>\n<li style=\"font-weight: 400;\" aria-level=\"3\"><span style=\"font-weight: 400;\">is in the Receiving Party\u2019s possession at the time of disclosure without an obligation of confidentiality;\u00a0<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"3\"><span style=\"font-weight: 400;\">is independently developed by the Receiving Party without use of or reference to Confidential Information;\u00a0<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"3\"><span style=\"font-weight: 400;\">becomes known publicly, before or after disclosure, other than as a result of wrongdoing by the Receiving Party; or<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"3\"><span style=\"font-weight: 400;\">is approved for release in writing by the Disclosing Party.<\/span><\/li>\n<\/ol>\n<\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\">The Receiving Party shall not use Confidential Information of the Disclosing Party for any purpose other than to exercise its rights and perform its obligations under this Agreement. The Receiving Party shall not disclose Confidential Information of the Disclosing Party except:\n<ol>\n<li style=\"font-weight: 400;\" aria-level=\"3\">to those employees or contractors of the Receiving Party who have a bona fide need to know such Confidential Information to perform the Receiving Party\u2019s obligations under this Agreement, and are subject to a nondisclosure agreement with the Receiving Party with use and nondisclosure restrictions at least as protective as those set forth in this Agreement;<\/li>\n<li style=\"font-weight: 400;\" aria-level=\"3\">to any other third party without the Disclosing Party\u2019s prior written consent; or<\/li>\n<li style=\"font-weight: 400;\" aria-level=\"3\">as expressly permitted under this Agreement.<\/li>\n<\/ol>\n<\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">The Receiving Party shall protect Confidential Information of the Disclosing Party with the same degree of care it uses to protect its own confidential information of similar nature and importance, but with no less than reasonable care. The obligations of this Section will continue for 5 years after the date of disclosure; except that the Receiving Party\u2019s obligation to protect Confidential Information of the Disclosing Party which constitutes a trade secret shall survive in perpetuity.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">Notwithstanding subsection (b) above, the Receiving Party may disclose Confidential Information of the Disclosing Party to the extent required by applicable Law or governmental authority, provided that the Receiving Party shall, to the extent permitted by law, give the Disclosing Party prompt notice of any such legal or governmental demand and reasonably cooperate with the Disclosing Party in any effort to seek a protective order or otherwise to contest such required disclosure by lawful means, at the Disclosing Party\u2019s expense. The Receiving Party will disclose only that portion of the Confidential Information of the Disclosing Party that is required.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">A Party shall notify the other Party promptly upon discovery of any unauthorized use or disclosure of the other Party\u2019s Confidential Information, and will cooperate with the other Party in every reasonable way <\/span><span style=\"font-weight: 400;\">and at such other Party\u2019s expense, <\/span><span style=\"font-weight: 400;\">to help regain possession of such Confidential Information and to prevent its further unauthorized use or disclosure.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">As between the Parties, each Party retains all ownership rights in and to its Confidential Information.<\/span><\/li>\n<\/ol>\n<\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><strong>Privacy and Data Protection<\/strong><span style=\"font-weight: 400;\">.<\/span>\n<ol>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">PocketHealth and Customer shall each comply with its respective obligations under Privacy Laws regarding the collection, use, disclosure, retention, storage or other processing of PHI in connection with the Services. PocketHealth shall comply with any Customer policies, of which it has been made aware, related to the collection, use, disclosure and protection of PHI.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">Without restricting Section 10, PocketHealth will maintain the confidentiality of all PHI to which it has access in the course of providing the Services, and will only use or disclose the PHI as is necessary in order to provide the Services, where specifically authorized by the Customer or this Agreement, or as otherwise required by applicable Law.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">PocketHealth will only access, use and process PHI in accordance with the business associate agreement entered into between the Parties (the \u201c<\/span><strong>BAA<\/strong><span style=\"font-weight: 400;\">\u201d). If there is a conflict between this Agreement and the BAA, the BAA will prevail.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">Customer expressly authorizes PocketHealth to collect, use, and disclose PHI on its behalf, as necessary to provide the Services.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">Customer acknowledges and agrees that it is solely responsible for:<\/span>\n<ol>\n<li style=\"font-weight: 400;\" aria-level=\"3\"><span style=\"font-weight: 400;\">complying with all necessary transparency and lawfulness requirements for the collection, use and disclosure of PHI under Privacy Laws, including obtaining necessary consents and authorizations (except for PocketHealth\u2019s registration and consent process for the Platform); and<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"3\"><span style=\"font-weight: 400;\">complying with all Laws (including Privacy Laws) applicable to electronic messages (such as emails and text messages) created, sent or managed through the Services, including those relating to obtaining consent (where required) to send electronic messages.<\/span><\/li>\n<\/ol>\n<\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">PocketHealth shall maintain appropriate physical, organizational and technological security measures to protect PHI from unauthorized access, use, disclosure, destruction, loss, theft or alteration, that will include the following:<\/span>\n<ol>\n<li style=\"font-weight: 400;\" aria-level=\"3\"><span style=\"font-weight: 400;\">privacy and security policies, standards, and procedures designed to protect PHI within its environments;<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"3\"><span style=\"font-weight: 400;\">PocketHealth personnel will sign confidentiality agreements and be required to complete mandatory privacy and security training;<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"3\"><span style=\"font-weight: 400;\">PocketHealth personnel will be prohibited from using or disclosing such information for any purpose other than the provision of the Services;<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"3\"><span style=\"font-weight: 400;\">maintaining a record of security privileges of individuals having access to its systems, including networks and repositories;<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"3\"><span style=\"font-weight: 400;\">maintaining audit logs of user and system administrator activities, and auditing and monitoring those logs;<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"3\"><span style=\"font-weight: 400;\">requiring the use of strong passwords to access its systems hosting PHI;<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"3\"><span style=\"font-weight: 400;\">ensuring PHI is as accurate and complete as necessary to provide the Services;<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"3\"><span style=\"font-weight: 400;\">reasonable measures to ensure that only authorized individuals have access to physical locations and assets critical to the organization, such as corporate facilities, computing equipment and data centres; and<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"3\"><span style=\"font-weight: 400;\">environmental controls to further address risks to the physical locations and safety of employees, such as fire, water, electrical surges, power outages, corporate espionage, and other dangers.<\/span><\/li>\n<\/ol>\n<\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">PocketHealth shall promptly notify Customer in writing of any:<\/span>\n<ol>\n<li style=\"font-weight: 400;\" aria-level=\"3\"><span style=\"font-weight: 400;\">actual or reasonably suspected loss or theft of, or unauthorized access to, or use or disclosure of, PHI in connection with the Services (\u201c<\/span><strong>Security Breach<\/strong><span style=\"font-weight: 400;\">\u201d);<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"3\"><span style=\"font-weight: 400;\">breach of PocketHealth\u2019s obligations under this Section; and<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"3\"><span style=\"font-weight: 400;\">any issue that would materially impact the accuracy or integrity of the PHI processed in connection with the Services.<\/span><\/li>\n<\/ol>\n<p>PocketHealth shall co-operate and comply with all reasonable instructions of Customer with respect to any such event.<\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\">If this Agreement or any practices which could be, or are, employed in performance of this Agreement are found to be inconsistent with or do not satisfy the requirements of Privacy Laws, (i) the Parties shall agree in good faith upon an appropriate amendment to this Agreement to comply with such Laws, and (ii) the Parties shall execute and deliver any documents required to comply with such Laws.<\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">The Services do not replace the need for Customer to maintain regular data backups. PocketHealth has no obligation or liability for any loss, alteration, destruction, damage, corruption or recovery of Customer Data.<\/span><\/li>\n<\/ol>\n<\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><strong>Representations and Warranties; Disclaimer<\/strong><span style=\"font-weight: 400;\">.<\/span>\n<ol>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">Each Party represents and warrants to the other Party that:<\/span>\n<ol>\n<li style=\"font-weight: 400;\" aria-level=\"3\"><span style=\"font-weight: 400;\">it is a corporation incorporated and validly existing in the jurisdiction of its incorporation;<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"3\"><span style=\"font-weight: 400;\">it has all required power and capacity to enter into this Agreement, to grant the rights and licences granted under this Agreement and to perform its obligations under this Agreement;<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"3\"><span style=\"font-weight: 400;\">the execution of this Agreement by its representative whose signature is set forth at the end hereof has been duly authorized by all necessary corporate action;<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"3\"><span style=\"font-weight: 400;\">when executed and delivered by each of the Parties, this Agreement will constitute the legal, valid, and binding obligation of such Party, enforceable against such Party in accordance with its terms; and<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"3\"><span style=\"font-weight: 400;\">it will comply with all applicable Law with respect to its business operations under this Agreement.<\/span><\/li>\n<\/ol>\n<\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">PocketHealth represents, warrants, and covenants to Customer that:<\/span>\n<ol>\n<li style=\"font-weight: 400;\" aria-level=\"3\"><span style=\"font-weight: 400;\">PocketHealth will perform the Services using personnel of required skill, experience, and qualifications and in a professional and workmanlike manner in accordance with commercially reasonable industry standards for similar services; and<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"3\"><span style=\"font-weight: 400;\">PocketHealth uses commercially reasonable efforts to prevent the introduction of Malicious Code into the software underlying the Services.<\/span><\/li>\n<\/ol>\n<\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">Customer represents, warrants, and covenants to PocketHealth that Customer owns or otherwise has, and will have, the necessary rights and consents in and relating to the Customer Data and the Customer Marks so that, as received by PocketHealth and processed in accordance with this Agreement, they do not and will not infringe, misappropriate, or otherwise violate any intellectual property rights, or any privacy or other rights of any third party or violate any applicable Law. Without restricting the foregoing, Customer represents, warrants and covenants to PocketHealth that PocketHealth\u2019s expected use of the PHI, as instructed by the Customer under this Agreement, complies with Privacy Laws.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\">\n<div>\n<div>EXCEPT AS EXPRESSLY PROVIDED FOR HEREIN, THE SERVICES ARE PROVIDED ON AN \u201cAS IS\u201d AND \u201cAS AVAILABLE\u201d BASIS WITHOUT ANY WARRANTIES OR CONDITIONS OF ANY KIND, AND POCKETHEALTH EXPRESSLY DISCLAIMS ANY AND ALL WARRANTIES AND CONDITIONS, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE. POCKETHEALTH SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES AND CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ALL WARRANTIES ARISING FROM COURSE OF PERFORMANCE,\u00a0COURSE OF DEALING OR USAGE OF TRADE. CUSTOMER ACKNOWLEDGES THAT EXCEPT AS EXPRESSLY PROVIDED FOR HEREIN, POCKETHEALTH MAKES NO WARRANTY OF ANY KIND THAT THE SERVICES, OR ANY PRODUCTS OR RESULTS OF THE USE THEREOF, WILL MEET CUSTOMER’S OR ANY OTHER PERSON’S REQUIREMENTS, OPERATE WITHOUT INTERRUPTION, ACHIEVE ANY INTENDED RESULT, BE COMPATIBLE OR WORK WITH ANY SOFTWARE, SYSTEM, OR OTHER SERVICES, OR BE SECURE, ACCURATE, COMPLETE, FREE OF HARMFUL COMPONENTS, OR ERROR FREE. SOME JURISDICTIONS DO NOT ALLOW THE DISCLAIMER OF CERTAIN TYPES OF WARRANTIES. THE FOREGOING DISCLAIMERS WILL NOT APPLY TO THE EXTENT PROHIBITED BY APPLICABLE LAW.<\/div>\n<\/div>\n<\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">Customer agrees that it has not relied on the <\/span><span style=\"font-weight: 400;\">availability<\/span><span style=\"font-weight: 400;\"> of any future functionality of the Services, the Platform or any other future product or service in executing this Agreement or any Order Form. Customer acknowledges that information provided by PocketHealth regarding the future functionality of the Services, the Platform or any other future product or service should not be relied upon to make a purchase decision.<\/span><\/li>\n<\/ol>\n<\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><strong>Indemnification<\/strong><span style=\"font-weight: 400;\">.<\/span>\n<ol>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">Pockethealth shall indemnify, defend and hold harmless the Customer and its directors, officers and employees (each a \u201c<\/span><strong>Customer Indemnitee<\/strong><span style=\"font-weight: 400;\">\u201d) from and against any and all losses, damages, liabilities, costs and expenses (including reasonable legal fees) (collectively, \u201c<\/span><strong>Losses<\/strong><span style=\"font-weight: 400;\">\u201d) incurred by the Customer Indemnitee(s) resulting from any third-party claim, suit, action or proceeding (collectively, \u201c<\/span><strong>Claims<\/strong><span style=\"font-weight: 400;\">\u201d) resulting from or arising out of:<\/span>\n<ol>\n<li style=\"font-weight: 400;\" aria-level=\"3\"><span style=\"font-weight: 400;\">PocketHealth\u2019s breach of Privacy Laws;<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"3\"><span style=\"font-weight: 400;\">PocketHealth\u2019s gross negligence or more culpable act or omission (including recklessness or wilful misconduct); or<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"3\"><span style=\"font-weight: 400;\">the Services infringing or misappropriating the third party\u2019s intellectual property rights; provided that, Customer promptly notifies PocketHealth in writing of the Claim, cooperates with PocketHealth, and allows PocketHealth sole authority to control the defense and settlement of the Claim.<\/span><\/li>\n<\/ol>\n<p>PocketHealth\u2019s obligations set forth in subsection (iii) above do not apply with respect to the Services, or any part thereof (A) that are not provided by, or authorized by PocketHealth in writing (including services provided by third parties), (B) that are combined with other products (including Customer\u2019s services), processes or materials that are not reasonably contemplated by PocketHealth or the Documentation, (C) that are modified by persons other than PocketHealth, or (D) where Customer\u2019s use of or access to the Services is not in accordance with this Agreement or the Documentation. If Customer\u2019s use of the Services has become, or in PocketHealth’s opinion is likely to become, the subject of any Claim contemplated by subsection (iii) above, PocketHealth may, at its option and expense, (x) modify or replace the Services, or component thereof, to make it non-infringing, or (y) obtain the right for Customer to continue use. If PocketHealth, in its sole discretion, determines that options (x)-(y) are not commercially practicable, PocketHealth may immediately terminate this Agreement in its entirety or with respect to the affected component or part, on written notice to Customer, and refund Customer any prepaid, unused Fees for the remainder of the then-current Service Term(s).<\/li>\n<li style=\"font-weight: 400;\" aria-level=\"3\"><span style=\"font-weight: 400;\">Customer shall indemnify, defend and hold harmless PocketHealth, its affiliates, and each of their respective directors, officers and employees (each a \u201c<\/span><strong>PocketHealth Indemnitee<\/strong><span style=\"font-weight: 400;\">\u201d) from and against any and all Losses incurred by the PocketHealth Indemnitee(s) resulting from any Claim resulting from or arising out of:<\/span>\n<ol>\n<li style=\"font-weight: 400;\" aria-level=\"3\"><span style=\"font-weight: 400;\">Customer\u2019s or any User\u2019s breach of Privacy Laws;<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"3\"><span style=\"font-weight: 400;\">Customer\u2019s or any User\u2019s use of the Services or the Platform in a manner not authorized by this Agreement, including a breach of Section 5 or Section 9(g);<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"3\"><span style=\"font-weight: 400;\">Customer\u2019s or any User\u2019s breach of its obligations with respect to Customer Data, including the Customer Data infringing or misappropriating the third-party\u2019s intellectual property rights or privacy rights;<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"3\"><span style=\"font-weight: 400;\">PocketHealth\u2019s use of the Customer Marks in connection with the White-Labeled Services (if applicable); or<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"3\"><span style=\"font-weight: 400;\">Customer\u2019s or any User\u2019s gross negligence or more culpable act or omission (including recklessness or wilful misconduct).<\/span><\/li>\n<\/ol>\n<\/li>\n<li style=\"font-weight: 400;\" aria-level=\"3\"><span style=\"font-weight: 400;\">Each Party\u2019s obligations under this Section are conditioned on the indemnified Party (i) providing the indemnifying Party with prompt written notice of any Claim (provided that the indemnified Party\u2019s failure to provide prompt written notice shall only relieve the indemnifying Party of its indemnification obligations hereunder to the extent such failure materially limits or prejudices the indemnifying Party\u2019s ability to defend or settle such Claim), (ii) granting the indemnifying Party the sole control of the defense and settlement of the Claim, and (iii) providing reasonable information and assistance to the indemnifying Party in the defense or settlement of the Claim at the indemnifying Party\u2019s expense. The indemnified Party may participate in a Claim with its own counsel at its own expense. The indemnifying Party may not settle any Claim that requires the indemnified Party to admit fault or pay any amounts without written consent signed by an authorized officer of the indemnified Party, not to be unreasonably withheld or delayed. Notwithstanding anything else to the contrary in this Agreement, any obligation of indemnifying Party to defend, indemnify and hold the other Party harmless hereunder is limited to the indemnifying Party\u2019s payment for (A) the cost of defense of Party, and (B) any settlements agreed to by the indemnifying Party in writing signed by an officer of the indemnifying Party or final judgments awarded to the third party claimant by a court of competent jurisdiction.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"3\"><span style=\"font-weight: 400;\">NOTWITHSTANDING ANYTHING TO THE CONTRARY IN THIS AGREEMENT, THIS SECTION STATES EACH PARTY\u2019S ENTIRE RESPONSIBILITY, AND THE OTHER PARTY\u2019S SOLE AND EXCLUSIVE REMEDY WITH RESPECT TO INFRINGEMENT, MISAPPROPRIATION OR VIOLATION OF A THIRD PARTY\u2019S INTELLECTUAL PROPERTY RIGHTS UNDER THIS AGREEMENT.<\/span><\/li>\n<\/ol>\n<\/li>\n<li style=\"font-weight: 400;\" aria-level=\"3\"><strong>Limitation of Liability<\/strong><span style=\"font-weight: 400;\">.<\/span>\n<ol>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">EXCEPT FOR (I) CUSTOMER\u2019S BREACH OF SECTION 5 (USE RESTRICTIONS), (II) CUSTOMER\u2019S BREACH OF PAYMENT OBLIGATIONS, (III) <\/span><span style=\"font-weight: 400;\">ANY INFRINGEMENT BY ONE PARTY OF THE OTHER PARTY\u2019S INTELLECTUAL PROPERTY RIGHTS, (IV)<\/span><span style=\"font-weight: 400;\"> A PARTY\u2019S BREACH OF SECTION 10 (CONFIDENTIALITY), (V) A PARTY\u2019S BREACH OF SECTION 11 (PRIVACY AND DATA PROTECTION), (VI) A PARTY\u2019S INDEMNIFICATION OBLIGATIONS, OR (VII) A PARTY\u2019S GROSS NEGLIGENCE, FRAUD OR WILFUL MISCONDUCT (COLLECTIVELY, THE \u201c<\/span><b>EXCLUDED CLAIMS<\/b><span style=\"font-weight: 400;\">\u201d), <\/span>TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE UNDER ANY LEGAL OR EQUITABLE THEORY, INCLUDING BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY AND OTHERWISE, FOR ANY SPECIAL, INDIRECT, INCIDENTAL, EXEMPLARY, CONSEQUENTIAL, AGGRAVATED OR PUNITIVE DAMAGES, OR DAMAGES FOR LOST PROFITS, LOST REVENUES, LOST SAVINGS, LOST BUSINESS OPPORTUNITY, LOSS OF DATA OR GOODWILL, SERVICE INTERRUPTION, SYSTEM DAMAGE OR FAILURE, OR THE COST OF REPLACEMENT GOODS OR SERVICES OF ANY KIND ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR FROM THE USE OF OR INABILITY TO USE THE SERVICES, REGARDLESS OF WHETHER THAT PARTY HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A LIMITED REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.<\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\">\n<div>\n<div>EXCEPT FOR THE EXCLUDED CLAIMS, TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL A PARTY\u2019S TOTAL LIABILITY ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, UNDER ANY LEGAL OR EQUITABLE THEORY, EXCEED THE FEES ACTUALLY PAID BY CUSTOMER TO POCKETHEALTH IN THE 12 MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, WHETHER OR NOT THAT PARTY WAS ADVISED OF THE POSSIBILITY OF SUCH LOSS OR DAMAGE.<\/div>\n<\/div>\n<\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL A PARTY\u2019S TOTAL LIABILITY ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT IN RESPECT OF EXCLUDED CLAIMS, UNDER ANY LEGAL OR EQUITABLE THEORY, EXCEED 2X THE FEES ACTUALLY PAID BY CUSTOMER TO POCKETHEALTH IN THE 12 MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, WHETHER OR NOT THAT PARTY WAS ADVISED OF THE POSSIBILITY OF SUCH LOSS OR DAMAGE.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">THE EXCLUSIONS AND LIMITATIONS OF DAMAGES SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN POCKETHEALTH AND CUSTOMER AND WILL APPLY EVEN IF THE REMEDIES AVAILABLE HEREUNDER ARE FOUND TO FAIL THEIR ESSENTIAL PURPOSE.<\/span><\/li>\n<\/ol>\n<\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><strong>Insurance<\/strong><span style=\"font-weight: 400;\">. PocketHealth will obtain and maintain at its sole cost and expense during the term of this Agreement insurance coverage that is commercially reasonable and consistent with industry standards.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><strong>Publicity<\/strong><span style=\"font-weight: 400;\">. Customer will meaningfully support PocketHealth’s efforts to publicize the benefits of their partnership and highlight the benefits for Patients. Customer authorizes PocketHealth to use the Customer Marks in connection with promotional, marketing, sales and public relations activities (for example, in press releases, proposals and pitch decks). If requested by PocketHealth, Customer shall cooperate with PocketHealth in marketing-related activities, which may include media interviews, webinars, co-authoring bylines, keynotes and presentations at industry events, participation in PocketHealth\u2019s events, testimonials and case studies (including providing PocketHealth with information suitable for public dissemination regarding product performance, such as cost and time savings metrics).<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><strong>Beta Features<\/strong><span style=\"font-weight: 400;\">. From time to time, PocketHealth may make certain functionality, features, software, or services related to the Services which are designated as beta, pilot, limited release, non-production, or by a similar description (each, a “<\/span><strong>Beta Feature<\/strong><span style=\"font-weight: 400;\">“) available to Customer. Beta Features may be used by Customer in Customer\u2019s sole discretion. Beta Features are intended for evaluation purposes only. PocketHealth may discontinue Beta Features at any time in PocketHealth\u2019s sole discretion and may choose to never make them generally available. BETA FEATURES ARE CONSIDERED PART OF THE SERVICES, HOWEVER, NOTWITHSTANDING ANYTHING TO THE CONTRARY IN THIS AGREEMENT, BETA FEATURES ARE PROVIDED \u201cAS-IS\u201d WITHOUT ANY WARRANTIES, DEFENSE OR INDEMNIFICATION OBLIGATIONS, SUPPORT OBLIGATIONS, OR LIABILITY FOR ANY HARM OR DAMAGE ARISING OUT OF OR IN CONNECTION WITH USE OF THE BETA FEATURES.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><b>Export Regulation. <\/b><span style=\"font-weight: 400;\">Customer affirms that it is not named on, owned by, or acting on behalf of any U.S. government denied-party list, and it agrees to comply fully with all relevant export control and sanctions laws and regulations of the United States (the \u201c<\/span><b>Export\u00a0Laws<\/b><span style=\"font-weight: 400;\">\u201d) to ensure that neither the Services nor any technical data related thereto is: (i)\u00a0used, exported or re-exported directly or indirectly in violation of Export Laws; or (ii)\u00a0used for any purposes prohibited by the Export Laws.\u00a0 Customer will complete all undertakings required by Export Laws, including obtaining any necessary export license or other governmental approval.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><strong>Force Majeure<\/strong><span style=\"font-weight: 400;\">. Neither Party will be liable by reason of any failure or delay in the performance of its obligations (except for payment obligations) on account of events beyond the reasonable control of a Party that make it impossible or commercially impracticable for such Party to perform its obligations hereunder, which may include failure by a third-party hosting provider or utility provider, strikes (provided that such strike does not involve the employees of the Party failing to perform), shortages, pandemics, riots, fires, acts of God, war, terrorism, and governmental action. Each Party shall use commercially reasonable efforts to provide the other Party with notice of any such events and recommence performance as soon as is practicably possible.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><strong>Further Assurances<\/strong>. Each Party shall, upon the reasonable request, and at the sole cost and expense of the other Party, execute such documents and perform such acts as may be necessary to give full effect to the terms of this Agreement.<\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><strong>Relationship of the Parties<\/strong><span style=\"font-weight: 400;\">. The Parties are independent contractors. This Agreement does not create a partnership, franchise, joint venture, agency, fiduciary, or employment relationship between the Parties. Neither Party shall have authority to contract for or bind the other Party in any manner whatsoever.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><strong>No Third-Party Beneficiaries<\/strong><span style=\"font-weight: 400;\">. This Agreement is for the sole benefit of the Parties and their respective permitted successors and assigns and nothing herein, express or implied, is intended to or shall confer upon any other person any legal or equitable right, benefit, or remedy of any nature whatsoever under or by reason of this Agreement.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><strong>Notices<\/strong><span style=\"font-weight: 400;\">. Notices or other communications under this Agreement shall be in writing, and shall be sent by email and deemed to have been duly given the business day after being sent (with confirmation of transmission), provided that no undeliverable message is received by the sender. All such communications to PocketHealth must be sent to legal@pocket.health, and all such communications to Customer must be sent to the email(s) provided on the applicable Order Form(s).<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><strong>Amendments<\/strong><span style=\"font-weight: 400;\">. No amendment to or modification of this Agreement is effective unless it is in writing and signed by an authorized representative of each Party.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><strong>Waiver. <\/strong><span style=\"font-weight: 400;\">No waiver by any Party of any of the provisions hereof will be effective unless explicitly set forth in writing and signed by the Party so waiving. Except as otherwise set forth in this Agreement, (a) no failure to exercise, or delay in exercising, any rights, remedy, power, or privilege arising from this Agreement will operate or be construed as a waiver thereof, and (b) no single or partial exercise of any right, remedy, power, or privilege hereunder will preclude any other or further exercise thereof or the exercise of any other right, remedy, power, or privilege.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><strong>Severability. <\/strong><span style=\"font-weight: 400;\">If any provision of this Agreement is invalid, illegal, or unenforceable in any jurisdiction, such invalidity, illegality, or unenforceability will not affect any other term or provision of this Agreement or invalidate or render unenforceable such term or provision in any other jurisdiction.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><strong>Assignment; Successors and Assigns<\/strong>. Neither Party will assign or delegate any of its rights or obligations hereunder, whether by operation of law or otherwise, without the prior written consent of the other Party (not to be unreasonably withheld or delayed). Notwithstanding the foregoing, either Party may assign this Agreement in its entirety, without the consent of the other Party, in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all the assigning Party\u2019s assets, unless the assignment is to a direct competitor of the non-assigning Party. Any purported assignment in violation of this Section is void. No assignment or delegation will relieve the assigning or delegating Party of any of its obligations hereunder. This Agreement is binding upon and inures to the benefit of the Parties and their respective permitted successors and assigns.<\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><strong>Entire Agreement; Order of Precedence<\/strong><span style=\"font-weight: 400;\">. This Agreement, together with any other documents incorporated herein by reference and all related Order Form(s), Statement(s) of Work, exhibits, schedules, attachments, or appendices, constitutes the sole and entire agreement of the Parties with respect to the subject matter of this Agreement and supersedes all prior and contemporaneous understandings, agreements, and representations and warranties, both written and oral, with respect to such subject matter. In the event of any inconsistency or conflict between the terms and provisions of this Agreement and those of any exhibits, schedules, attachments, or appendices, the following order of precedence shall govern: (a) first, the BAA, (b) second, the applicable Order Form, including its exhibits, schedules, attachments and appendices, and (c) third, this Agreement.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><strong>Governing Law<\/strong><span style=\"font-weight: 400;\">. This Agreement shall be governed by, construed and interpreted in accordance with the Laws of the Province of Ontario and federal Laws of Canada applicable therein. The Parties hereby irrevocably attorn to the exclusive jurisdiction of the courts of the Province of Ontario. The Parties irrevocably and unconditionally waive any objection to the venue of any action or proceeding in such courts and irrevocably waive and agree not to plead or claim in any such court that any such action or proceeding brought in any such court has been brought in an inconvenient forum. Each Party also hereby waives any right to jury trial in connection with any action or litigation in any way arising out of or related to this Agreement.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><strong>Counterparts and Electronic Transmission<\/strong><span style=\"font-weight: 400;\">. This Agreement may be executed in counterparts, each of which is deemed an original, but all of which together are deemed to be one and the same agreement. PocketHealth and Customer may be referred to herein collectively as the “<\/span><strong>Parties<\/strong><span style=\"font-weight: 400;\">” or individually as a “<\/span><strong>Party<\/strong><span style=\"font-weight: 400;\">.”<\/span><\/p>\n<p><strong>WHEREAS<\/strong><span style=\"font-weight: 400;\">:<\/span><\/p>\n<ol style=\"list-style-type: upper-alpha;\">\n<li>PocketHealth is a technology provider, offering a cloud platform that allows patients to electronically request and receive certain types of health records from their healthcare providers (the \u201c<strong>Platform<\/strong><span style=\"font-weight: 400;\">\u201d). Patients can view, share, access and store those records in their account on the Platform. PocketHealth also offers various services to healthcare providers to facilitate communication and sharing records between them and their patients and\/or other healthcare providers. The Platform, and the services offered by PocketHealth to its customers, are further described in the applicable Order Form(s) (as later defined); <\/span><\/li>\n<li>Customer is a healthcare provider that offers, amongst other services, medical imaging services; and<\/li>\n<li>Customer desires to access the Services, and PocketHealth desires to provide Customer with access to the Services, subject to the terms and conditions of this Agreement.<\/li>\n<\/ol>\n<p><strong>NOW, THEREFORE<\/strong><span style=\"font-weight: 400;\">, in consideration of the mutual covenants, terms and conditions set forth herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:<\/span><\/p>\n<ol>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><strong>Definitions and Interpretation.<\/strong>\n<ol>\n<li><span style=\"font-weight: 400;\">\u201c<\/span><strong>Account<\/strong><span style=\"font-weight: 400;\">\u201d means a Patient\u2019s account on the Platform;<\/span><\/li>\n<li><span style=\"font-weight: 400;\">\u201c<\/span><strong>Confidential Information<\/strong><span style=\"font-weight: 400;\">\u201d means information of any kind, whether communicated orally or in writing, and whether or not marked as confidential at the time of disclosure, of the Disclosing Party or any of its affiliates, customers, employees, licensors, or suppliers, that has been or is obtained by or otherwise comes into the possession or knowledge of the Receiving Party or any of its affiliates, customers, employees, licensors, or suppliers, in connection with this Agreement. For greater certainty: (i) Confidential Information includes information concerning the business, affairs, technology, operations, properties, assets, employees, customers, suppliers, contracts, prospects, research, processes or methods, strategies and product roadmaps of Disclosing Party, and any other information that reasonably should be understood to be confidential or proprietary given the nature of the information and the circumstance of disclosure; and (ii) Customer\u2019s Confidential Information may include PHI;<\/span><\/li>\n<li><span style=\"font-weight: 400;\">\u201c<\/span><strong>Customer Data<\/strong><span style=\"font-weight: 400;\">\u201d means all data submitted, uploaded or otherwise transmitted through the Services (including PHI), or made available to PocketHealth, by or on behalf of Customer or any User;<\/span><\/li>\n<li><span style=\"font-weight: 400;\">\u201c<\/span><strong>Customer Systems<\/strong><span style=\"font-weight: 400;\">\u201d means Customer’s information technology infrastructure, including computers, software, hardware, databases, electronic systems (including database management systems), and networks, whether operated directly by Customer or through the use of third-party products or services;<\/span><\/li>\n<li><span style=\"font-weight: 400;\">\u201c<\/span><strong>Documentation<\/strong><span style=\"font-weight: 400;\">\u201d means user documentation relating to the Services;<\/span><\/li>\n<li><span style=\"font-weight: 400;\">\u201c<\/span><strong>Effective Date<\/strong><span style=\"font-weight: 400;\">\u201d means the effective date of the applicable Order Form;<\/span><\/li>\n<li><span style=\"font-weight: 400;\">\u201c<\/span><strong>HIPAA<\/strong><span style=\"font-weight: 400;\">\u201d means the <\/span><i><span style=\"font-weight: 400;\">Health Insurance Portability and Accountability Act of 1996<\/span><\/i><span style=\"font-weight: 400;\">, as amended from time to time, and includes all regulations made under it;<\/span><\/li>\n<li><span style=\"font-weight: 400;\">\u201c<\/span><strong>Law<\/strong><span style=\"font-weight: 400;\">\u201d means any statute, ordinance, regulation, rule, code, constitution, treaty, common law, governmental order, or other requirement or rule of law of any governmental authority;<\/span><\/li>\n<li><span style=\"font-weight: 400;\">\u201c<\/span><strong>Malicious Code<\/strong><span style=\"font-weight: 400;\">\u201d means any virus, worm, logic bomb or any other code designed to contaminate other device programs or data, consume device resources, modify, destroy, record, or transmit data in a manner not intended by the device, system, or network, or in some other fashion disrupt the normal operation of a device, system or network;<\/span><\/li>\n<li><span style=\"font-weight: 400;\">\u201c<\/span><strong>Order Form<\/strong><span style=\"font-weight: 400;\">\u201d means an ordering document executed by the Parties that references this Agreement and describes certain business terms related to Customer\u2019s purchase of Services;<\/span><\/li>\n<li><span style=\"font-weight: 400;\">\u201c<\/span><strong>Patient<\/strong><span style=\"font-weight: 400;\">\u201d means a patient of Customer;<\/span><\/li>\n<li><span style=\"font-weight: 400;\">\u201c<\/span><strong>person<\/strong><span style=\"font-weight: 400;\">\u201d means an individual, corporation, partnership, unlimited liability company, governmental authority, unincorporated organization, trust, association, or any other entity;<\/span><\/li>\n<li><span style=\"font-weight: 400;\">\u201c<\/span><strong>Privacy Laws<\/strong><span style=\"font-weight: 400;\">\u201d means HIPAA and applicable state privacy Laws;<\/span><\/li>\n<li><span style=\"font-weight: 400;\">\u201c<\/span><strong>Protected Health Information<\/strong><span style=\"font-weight: 400;\">\u201d or \u201c<\/span><strong>PHI<\/strong><span style=\"font-weight: 400;\">\u201d means protected health information as defined under HIPAA, that is provided or made available to PocketHealth by Customer;<\/span><\/li>\n<li><span style=\"font-weight: 400;\">\u201c<\/span><strong>Service Term<\/strong><span style=\"font-weight: 400;\">\u201d means the term of the applicable Order Form, and includes both the initial service term and any renewal term(s), as applicable;<\/span><\/li>\n<li><span style=\"font-weight: 400;\">\u201c<\/span><strong>Services<\/strong><span style=\"font-weight: 400;\">\u201d means the services purchased by Customer under an Order Form;<\/span><\/li>\n<li><span style=\"font-weight: 400;\">\u201c<\/span><strong>Statement of Work<\/strong><span style=\"font-weight: 400;\">\u201d means the statement of work a statement of work appended to an Order Form to facilitate the implementation and ongoing provision of the Services, and includes a shared implementation plan and estimated timelines, and the technical scope; and<\/span><\/li>\n<li><span style=\"font-weight: 400;\">\u201c<\/span><strong>User<\/strong><span style=\"font-weight: 400;\">\u201d means an individual authorized by Customer to access or use the Services.<\/span><\/li>\n<\/ol>\n<p>For purposes of this Agreement, the words \u201cinclude\u201d, \u201cincludes\u201d and \u201cincluding\u201d are deemed to be followed by the words \u201cwithout limitation\u201d.<\/p>\n<p>Unless otherwise stated, all dollar amounts referred to in this Agreement are stated in United States currency.<\/li>\n<li><strong>Access and Use.<\/strong><span style=\"font-weight: 400;\"> Subject to the terms and conditions of this Agreement, including the payment of all applicable Fees (as later defined), PocketHealth hereby grants to Customer and each User, during the term of this Agreement:<\/span>\n<ol>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">a non-exclusive, non-transferable (except in compliance with Section 26) right to access and use the Services in accordance with this Agreement, solely for Customer\u2019s internal use;<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">strictly with respect to the on-site application provided by PocketHealth to Customer, to be hosted locally on a virtual machine provisioned by Customer, a non-exclusive, non-transferable (except in compliance with Section 26), non-sublicensable license to use such on-site application solely for Customer\u2019s internal use in connection with the Services; and<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">a non-exclusive, non-transferable (except in compliance with Section 26), non-sublicensable license to use the Documentation solely for Customer\u2019s internal use in connection with the Services.<\/span><\/li>\n<\/ol>\n<p>Except for the limited rights granted in this Section, no other right, title or interest in PocketHealth\u2019s intellectual property rights or technology is granted and all such rights are hereby expressly reserved.<\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><strong>Changes.<\/strong><span style=\"font-weight: 400;\"> PocketHealth may, in its sole discretion, make changes to the Services that it deems necessary or useful to:<\/span>\n<ol>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">maintain or enhance the quality of its services, or the cost efficiency or performance of the Services; provided that the changes will not materially decrease the core functionality of the Services; or<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">to comply with applicable Law.<\/span><\/li>\n<\/ol>\n<p>Without restricting the foregoing, either Party may request changes to the Services. The Parties shall evaluate and, if agreed in writing, implement all such requested changes.<\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><strong>Subcontractors.<\/strong> PocketHealth may, in its sole discretion, engage third parties to perform Services (each a \u201c<strong>Subcontractor<\/strong>\u201d). PocketHealth may authorize a Subcontractor to process PHI if PocketHealth enters into a written agreement with the Subcontractor that contains terms at least as protective of the PHI as those set out in this Agreement. Customer has and will have the opportunity to review PocketHealth\u2019s Subcontractors.<\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><strong>Use Restrictions.<\/strong><span style=\"font-weight: 400;\"> Customer shall not, and shall not permit any other person (including any User(s)) to, access or use the Services except as expressly permitted under this Agreement. Without restricting the foregoing, Customer shall not, except as this Agreement expressly permits:<\/span>\n<ol>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">copy, modify, translate or create derivative works of the Services, Platform or Documentation, in whole or in part;<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">rent, lease, lend, sell, license, sublicense, assign, distribute, publish, transfer, or otherwise make available or commercially exploit the Services, Platform or Documentation;<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">reverse engineer, disassemble, decompile, decode, adapt, or otherwise attempt to deconstruct, derive or gain access to the Services or Platform in whole or in part (including the implementation thereof);<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">damage, destroy, disrupt, disable, impair, interfere with, or otherwise impede or harm in any manner the Services, Platform or PocketHealth\u2019s provision of services to any third party, in whole or in part;<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">remove any proprietary notices from the Services, Platform or Documentation;<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">access or use the Services or Platform for purposes of competitive analysis, the development, provision or use of a competing software service or product, or any other purpose that is to PocketHealth\u2019s detriment or commercial disadvantage;<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">attempt to gain unauthorized access to, interfere with, damage or disrupt any parts of the Services or Platform, including by introducing viruses or other harmful code; or<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">use the Services, Platform or Documentation in any manner or for any purpose that infringes, misappropriates, or otherwise violates any intellectual property right or other right of any person, or that violates any applicable Law.<\/span><\/li>\n<\/ol>\n<p>If Customer (including any User) is using the Services in a manner that, in PocketHealth\u2019s sole discretion, causes or is likely to cause significant harm to PocketHealth or the Services or Platform, or otherwise threatens the security, integrity or availability of the Services or Platform, then PocketHealth may suspend or terminate Customer\u2019s access to the Services. PocketHealth will use commercially reasonable efforts under such circumstances to (i) provide Customer with notice and an opportunity to remedy such violation or threat prior to any such suspension or termination, and (ii) if applicable, remove a suspension as quickly as practicable after the circumstances leading to the suspension have been resolved. Without restricting the foregoing, PocketHealth may also suspend or terminate Customer\u2019s access to the Services if PocketHealth is required by law to do so. This Section does not limit any of PocketHealth\u2019s other rights or remedies, whether at law, in equity, or under this Agreement.<\/p>\n<p>Customer is responsible and liable for all uses of the Services, Platform and Documentation resulting from access provided by Customer, directly or indirectly, whether such access or use is permitted by or in violation of this Agreement. Without restricting the foregoing, Customer is responsible for all activity on its Users\u2019 accounts. Customer will ensure that its Users are aware of and bound by the obligations and restrictions stated in this Agreement and Customer will be responsible for breach of any such obligation or restriction by a User.<\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><strong>Customer Obligations<\/strong>. Customer shall at all times during the term of this Agreement:\n<ol>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">cooperate with PocketHealth and facilitate the provision of the Services;<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">adhere to the system requirements specified by PocketHealth in order to access and use the Services;<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">implement and maintain physical, administrative and technical controls, screening and security procedures and other safeguards necessary to ensure all Users maintain the security of their access credentials, and to protect against unauthorized access to, or use of the Services;<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">provide PocketHealth personnel with such access to Customer\u2019s premises and Customer Systems as is necessary for PocketHealth to provide the Services; and<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">be solely responsible for all (i) Customer Data, (ii) Customer Systems, and (iii) access and use of the Services directly or indirectly by or through the Customer Systems or its or its Users\u2019 access credentials, with or without Customer\u2019s knowledge or consent, including all results obtained from, and all conclusions, decisions, and actions based on, such access or use.<\/span><\/li>\n<\/ol>\n<\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><strong>Fees and Expenses<\/strong><span style=\"font-weight: 400;\">.<\/span>\n<ol>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">In consideration for the Services, Customer agrees to pay PocketHealth the fees set out in the applicable Order Form(s) (the \u201c<\/span><strong>Fees<\/strong><span style=\"font-weight: 400;\">\u201d), without set-off or deduction. Except as expressly stated in this Agreement or the applicable Order Form(s), Fees are non-cancelable and non-refundable.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">Fees are due within 30 days of the applicable invoice, unless otherwise specified in the Order Form. Payment processing fees charged by third parties are the sole responsibility of Customer. If Customer fails to make any payment of undisputed amounts when due, without limiting PocketHealth\u2019s other rights and remedies: (i) PocketHealth may charge interest on the past due amounts at the rate of 1.5% per month (being 18% per annum) or, if lower, the maximum amount permitted under applicable Law; (ii) Customer shall reimburse PocketHealth for all reasonable costs incurred by PocketHealth in collecting any late payments or interest, including legal fees, court costs, and collection agency fees; and (iii) if such failure continues for 30 days or more, PocketHealth may suspend Customer\u2019s access to the Services until such amounts are paid in full.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">All Fees and other amounts payable by Customer under this Agreement and\/or any Order Form are exclusive of any taxes, levies, duties, or similar governmental assessments of any nature, including, for example, value-added, sales, use or withholding taxes, assessable by any jurisdiction (collectively, \u201c<\/span><strong>Taxes<\/strong><span style=\"font-weight: 400;\">\u201d). Customer is responsible for paying all Taxes with no reduction or set-off in Fees. If Customer is legally obligated to withhold any Taxes from any Fees payable to PocketHealth under this Agreement and\/or any Order Form, Customer will gross up the fees paid to PocketHealth such that PocketHealth is paid the full Fees due. If PocketHealth has the legal obligation to pay or collect Taxes for which Customer is responsible under this Section, PocketHealth will invoice Customer, and Customer will pay that amount unless Customer provides PocketHealth with a valid tax exemption certificate authorized by the appropriate taxing authority. For clarity, PocketHealth is solely responsible for taxes assessable based on PocketHealth\u2019s net income, payroll, and assets.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">PocketHealth may modify its Fees or introduce new fees. Any new or revised fees will not take effect during Customer\u2019s then-current Service Term and will only be effective if the Parties choose to enter into an Order Form that includes the new or revised fees for a new Service Term. Customer has the right to choose not to renew or enter into an Order Form for a new Service Term if it does not agree with any new or revised fees.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">Customer agrees that it shall reimburse PocketHealth for expenses approved by Customer in writing.<\/span><\/li>\n<\/ol>\n<\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><strong>Term & Termination.<\/strong>\n<ol>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">Customer\u2019s access and use of the Services, and the term of each Order Form, shall begin on the applicable Effective Date and continue for the duration of the applicable Service Term. This Agreement will become effective on the Effective Date of the first Order Form entered into by the Parties, and shall continue in effect until the expiration or termination of the last Service Term. Subscriptions to the Services will renew as described in the applicable Order Form.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">In addition to any other express termination right set forth in this Agreement, either Party may terminate this Agreement upon written notice to the other Party if such other Party:<\/span>\n<ol>\n<li style=\"font-weight: 400;\" aria-level=\"3\"><span style=\"font-weight: 400;\">materially breaches this Agreement and such breach is not cured within 30 days after written notice thereof; or<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"3\"><span style=\"font-weight: 400;\">has ceased to operate in the ordinary course, made an assignment for the benefit of creditors or similar disposition of such Party\u2019s assets, or become the subject of any bankruptcy, reorganization, liquidation, dissolution or similar proceeding that is not dismissed within 180 days.<\/span><\/li>\n<\/ol>\n<\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">Upon expiration or termination of this Agreement (or an Order Form, as applicable):<\/span>\n<ol>\n<li style=\"font-weight: 400;\" aria-level=\"3\"><span style=\"font-weight: 400;\">Customer shall cease to have any rights to use the Services, and shall immediately cease use of the Services and return any Documentation to PocketHealth;<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"3\"><span style=\"font-weight: 400;\">Customer shall be responsible for paying to PocketHealth all outstanding Fees and expenses due and not yet paid for the then-current Service Term(s) up to the effective date of expiration or termination;<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"3\"><span style=\"font-weight: 400;\">each Party shall promptly return to the other Party all copies, whether in written, electronic, or other form or media, of such other Party\u2019s Confidential Information, or destroy all such copies and certify in writing to such other Party that such Confidential Information has been destroyed; and<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"3\"><span style=\"font-weight: 400;\">upon Customer\u2019s written request (and unless Customer requests earlier deletion in writing) PocketHealth will permanently delete all Customer Data.<\/span><\/li>\n<\/ol>\n<\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">Any right or obligation of the Parties in this Agreement which, by its nature, should survive termination or expiration of this Agreement, will survive any such termination or expiration.<\/span><\/li>\n<\/ol>\n<\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><strong>Intellectual Property.<\/strong>\n<ol>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">Customer acknowledges and agrees that all right, title and interest in and to the Services, Platform and Documentation are the sole and exclusive property of PocketHealth and\/or its third-party licensors. PocketHealth reserves all rights not expressly granted to Customer hereunder, and for greater certainty, PocketHealth shall retain all intellectual property rights in and to the Services, Platform and Documentation.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">PocketHealth acknowledges and agrees that all right, title and interest in and to the Customer Data are the sole and exclusive property of Customer and\/or the applicable Patient(s). Customer hereby irrevocably grants all such rights and permissions in or relating to Customer Data as are necessary or useful to PocketHealth, its Subcontractors, and PocketHealth\u2019s personnel to exercise their respective rights and perform their respective obligations under this Agreement.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">Customer (including Users) may, at its discretion, provide to PocketHealth suggestions, ideas, comments, enhancement or correction requests, or other feedback with respect to the Services or Platform (collectively, \u201c<\/span><strong>Feedback<\/strong><span style=\"font-weight: 400;\">\u201d). PocketHealth may use such Feedback and incorporate it in PocketHealth\u2019s products, technologies and services without any obligation or restriction. Customer hereby grants to PocketHealth and its assigns a royalty-free, worldwide, perpetual, irrevocable, fully transferable and sublicensable right and license, if any, to use, disclose, reproduce, modify, create derivative works from, display, and otherwise distribute and exploit the Feedback, without obligation or restriction. For greater certainty, Customer is not entitled to any compensation or reimbursement of any kind under any circumstances for any Feedback.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">PocketHealth may collect and analyze information relating to the use, configuration and performance of the Services or Platform (\u201c<\/span><strong>Usage Data<\/strong><span style=\"font-weight: 400;\">\u201d) for purposes of providing and improving PocketHealth\u2019s products and services. Customer agrees that PocketHealth may use aggregated or de-identified Usage Data for any business purpose during or after the term of this Agreement, including to develop and improve PocketHealths products and services; provided that, in no event will any use of Usage Data result in the identification of Customer to any third party. For the avoidance of doubt, Usage Data does not include any PHI.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">PocketHealth will provide Customer with ongoing access to aggregated usage statistics suitable for the purposes of business planning, as well as study-level logs suitable for the purposes of an audit.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">Customer grants to PocketHealth a non-exclusive, non-transferable, non-sublicensable, royalty-free license during the term of this Agreement to use, copy and distribute Customer\u2019s name, logo, and trademarks (collectively, \u201c<\/span><strong>Customer Marks<\/strong><span style=\"font-weight: 400;\">\u201d) solely for the limited purpose of displaying the Customer Marks within the user interface of the Services or the Platform as configured for Customer, and solely to the extent necessary to provide the Services (which for clarity, may include rebranding or customizing the Platform or other components of the Services using Customer\u2019s name, trademark and\/or logo, as further described in the applicable Order Form and Statement of Work (collectively, the \u201c<\/span><strong>White-Labeled Services<\/strong><span style=\"font-weight: 400;\">\u201d)).<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">This subsection applies solely to the extent the Services include White-Labeled Services. PocketHealth grants to Customer the right and license to grant licenses to the White-Labeled Services, in whole or in part, to third party end users, provided that each such end user must agree (i) to terms that protect PocketHealth\u2019s ownership of the applicable Services, Platform and\/or Documentation, and that are no less protective of PocketHealth than PocketHealth\u2019s standard terms then in effect, and (ii) to only use the applicable Services, Platform and\/or Documentation in accordance with such terms and for no other purpose.<\/span><\/li>\n<\/ol>\n<\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><strong>Confidentiality.<\/strong>\n<ol>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">Each Party (the \u201c<\/span><strong>Receiving Party<\/strong><span style=\"font-weight: 400;\">\u201d) understands that the other Party (the \u201c<\/span><strong>Disclosing Party<\/strong><span style=\"font-weight: 400;\">\u201d) may disclose Confidential Information of the Disclosing Party. Customer acknowledges and agrees that the Confidential Information it may receive from PocketHealth is highly valuable, confidential and material to the interests, business and affairs of PocketHealth, and that disclosure thereof would be detrimental to the interests, business and affairs of PocketHealth. Notwithstanding the foregoing, Confidential Information does not include information that:<\/span>\n<ol>\n<li style=\"font-weight: 400;\" aria-level=\"3\"><span style=\"font-weight: 400;\">is or becomes generally available to the public without breach of any obligation owed to the Disclosing Party;<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"3\"><span style=\"font-weight: 400;\">was known to the Receiving Party prior to its disclosure by the Disclosing Party without breach of any confidentiality obligation;<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"3\"><span style=\"font-weight: 400;\">is received from a third party without breach of any confidentiality obligation; or<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"3\"><span style=\"font-weight: 400;\">was independently developed by the Receiving Party without use or reference to the Disclosing Party\u2019s Confidential Information.<\/span><\/li>\n<\/ol>\n<\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">The Receiving Party: (i) will protect the Disclosing Party\u2019s Confidential Information using the same degree of care used to protect its own confidential or proprietary information of like importance, but in any case using no less than a reasonable degree of care; (ii) will limit access to the Confidential Information to those employees, affiliates, subcontractors, agents, consultants, legal advisors, financial advisors, and contractors who need to know such information in connection with this Agreement and who are bound by confidentiality and non-use obligations just as protective of the Disclosing Party\u2019s Confidential Information as the terms of this Agreement; and (iii) will not use the Disclosing Party\u2019s Confidential Information for any purpose other than to fulfill its obligations under this Agreement.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">The Receiving Party may access or disclose Confidential Information of the Disclosing Party if it is required by law or a court of competent jurisdiction; provided that, the Receiving Party gives the Disclosing Party prior notice of the compelled access or disclosure (to the extent legally permitted) and reasonable assistance, at the Disclosing Party’s cost, if the Disclosing Party wishes to contest the access or disclosure. The Receiving Party will disclose only that portion of the Confidential Information that is required.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">A Party shall notify the other Party promptly upon discovery of any unauthorized use or disclosure of the other Party\u2019s Confidential Information, and will cooperate with the other Party in every reasonable way to help regain possession of such Confidential Information and to prevent its further unauthorized use or disclosure.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">As between the Parties, each Party retains all ownership rights in and to its Confidential Information.<\/span><\/li>\n<\/ol>\n<\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><strong>Privacy and Data Protection<\/strong><span style=\"font-weight: 400;\">.<\/span>\n<ol>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">PocketHealth and Customer shall each comply with its respective obligations under Privacy Laws regarding the collection, use, disclosure, retention, storage or other processing of PHI in connection with the Services. PocketHealth shall comply with any Customer policies, of which it has been made aware, including those governing the collection, use, disclosure and protection of PHI.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">Without restricting Section 10, PocketHealth will maintain the confidentiality of all PHI to which it has access in the course of providing the Services, and will only use or disclose the PHI as is necessary in order to provide the Services, where specifically authorized by the Customer or this Agreement, or as otherwise required by applicable Law.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">PocketHealth will only access, use and process PHI in accordance with the business associate agreement entered into between the Parties (the \u201c<\/span><strong>BAA<\/strong><span style=\"font-weight: 400;\">\u201d). If there is a conflict between this Agreement and the BAA, the BAA will prevail.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">Customer expressly authorizes PocketHealth to collect, use, and disclose PHI on its behalf, as necessary to provide the Services.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">Customer acknowledges and agrees that it is solely responsible for:<\/span>\n<ol>\n<li style=\"font-weight: 400;\" aria-level=\"3\"><span style=\"font-weight: 400;\">complying with all necessary transparency and lawfulness requirements for the collection, use and disclosure of PHI under Privacy Laws, including obtaining necessary consents and authorizations (except for PocketHealth\u2019s registration and consent process for the Platform); and<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"3\"><span style=\"font-weight: 400;\">complying with all Laws (including Privacy Laws) applicable to electronic messages (such as emails and text messages) created, sent or managed through the Services, including those relating to obtaining consent (where required) to send electronic messages.<\/span><\/li>\n<\/ol>\n<\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">PocketHealth shall maintain appropriate physical, organizational and technological security measures to protect PHI from unauthorized access, use, disclosure, destruction, loss, theft or alteration, that will include the following:<\/span>\n<ol>\n<li style=\"font-weight: 400;\" aria-level=\"3\"><span style=\"font-weight: 400;\">privacy and security policies, standards, and procedures designed to protect PHI within its environments;<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"3\"><span style=\"font-weight: 400;\">PocketHealth personnel will sign confidentiality agreements and be required to complete mandatory privacy and security training;<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"3\"><span style=\"font-weight: 400;\">PocketHealth personnel will be prohibited from using or disclosing such information for any purpose other than the provision of the Services;<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"3\"><span style=\"font-weight: 400;\">maintaining a record of security privileges of individuals having access to its systems, including networks and repositories;<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"3\"><span style=\"font-weight: 400;\">maintaining audit logs of user and system administrator activities, and auditing and monitoring those logs;<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"3\"><span style=\"font-weight: 400;\">requiring the use of strong passwords to access its systems hosting PHI;<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"3\"><span style=\"font-weight: 400;\">ensuring PHI is as accurate and complete as necessary to provide the Services;<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"3\"><span style=\"font-weight: 400;\">reasonable measures to ensure that only authorized individuals have access to physical locations and assets critical to the organization, such as corporate facilities, computing equipment and data centres; and<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"3\"><span style=\"font-weight: 400;\">environmental controls to further address risks to the physical locations and safety of employees, such as fire, water, electrical surges, power outages, corporate espionage, and other dangers.<\/span><\/li>\n<\/ol>\n<\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">PocketHealth shall promptly notify Customer in writing of any:<\/span>\n<ol>\n<li style=\"font-weight: 400;\" aria-level=\"3\"><span style=\"font-weight: 400;\">actual or reasonably suspected loss or theft of, or unauthorized access to, or use or disclosure of, PHI in connection with the Services (\u201c<\/span><strong>Security Breach<\/strong><span style=\"font-weight: 400;\">\u201d);<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"3\"><span style=\"font-weight: 400;\">breach of PocketHealth\u2019s obligations under this Section; and<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"3\"><span style=\"font-weight: 400;\">any issue that would materially impact the accuracy or integrity of the PHI processed in connection with the Services.<\/span><\/li>\n<\/ol>\n<p>PocketHealth shall co-operate and comply with all reasonable instructions of Customer with respect to any such event.<\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\">If this Agreement or any practices which could be, or are, employed in performance of this Agreement are found to be inconsistent with or do not satisfy the requirements of any applicable Privacy Laws, (i) the Parties shall agree in good faith upon an appropriate amendment to this Agreement to comply with such Laws, and (ii) the Parties shall execute and deliver any documents required to comply with such Laws.<\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">The Services do not replace the need for Customer to maintain regular data backups. PocketHealth has no obligation or liability for any loss, alteration, destruction, damage, corruption or recovery of Customer Data.<\/span><\/li>\n<\/ol>\n<\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><strong>Representations and Warranties; Disclaimer<\/strong><span style=\"font-weight: 400;\">.<\/span>\n<ol>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">Each Party represents and warrants to the other Party that:<\/span>\n<ol>\n<li style=\"font-weight: 400;\" aria-level=\"3\"><span style=\"font-weight: 400;\">it is a corporation incorporated and validly existing in the jurisdiction of its incorporation;<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"3\"><span style=\"font-weight: 400;\">it has all required power and capacity to enter into this Agreement, to grant the rights and licences granted under this Agreement and to perform its obligations under this Agreement;<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"3\"><span style=\"font-weight: 400;\">the execution of this Agreement by its representative whose signature is set forth at the end hereof has been duly authorized by all necessary corporate action;<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"3\"><span style=\"font-weight: 400;\">when executed and delivered by each of the Parties, this Agreement will constitute the legal, valid, and binding obligation of such Party, enforceable against such Party in accordance with its terms; and<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"3\"><span style=\"font-weight: 400;\">it will comply with all applicable Law with respect to its business operations under this Agreement.<\/span><\/li>\n<\/ol>\n<\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">PocketHealth represents, warrants, and covenants to Customer that:<\/span>\n<ol>\n<li style=\"font-weight: 400;\" aria-level=\"3\"><span style=\"font-weight: 400;\">PocketHealth will perform the Services using personnel of required skill, experience, and qualifications and in a professional and workmanlike manner in accordance with commercially reasonable industry standards for similar services; and<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"3\"><span style=\"font-weight: 400;\">PocketHealth uses commercially reasonable efforts to prevent the introduction of Malicious Code into the software underlying the Services.<\/span><\/li>\n<\/ol>\n<\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">Customer represents, warrants, and covenants to PocketHealth that Customer owns or otherwise has, and will have, the necessary rights and consents in and relating to the Customer Data and the Customer Marks so that, as received by PocketHealth and processed in accordance with this Agreement, they do not and will not infringe, misappropriate, or otherwise violate any intellectual property rights, or any privacy or other rights of any third party or violate any applicable Law. Without restricting the foregoing, Customer represents, warrants and covenants to PocketHealth that PocketHealth\u2019s expected use of the PHI, as instructed by the Customer under this Agreement, complies with Privacy Laws.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">Except as expressly provided for herein, the Services are provided on an \u201cas is\u201d and \u201cas available\u201d basis without any warranties or conditions of any kind, and Pockethealth expressly disclaims any and all warranties and conditions, whether express, implied, statutory or otherwise. Pockethealth specifically disclaims all implied warranties and conditions of merchantability, fitness for a particular purpose, title, and non-infringement, and all warranties arising from course of dealing, usage, or trade practice. Customer acknowledges that except as expressly provided for herein, Pockethealth makes no warranty of any kind that the Services, or any products or results of the use thereof, will meet Customer’s or any other person’s requirements, operate without interruption, achieve any intended result, be compatible or work with any software, system, or other services, or be secure, accurate, complete, free of harmful components, or error free. Some jurisdictions do not allow the disclaimer of certain types of warranties. The foregoing disclaimers will not apply to the extent prohibited by applicable law.<\/span><\/li>\n<\/ol>\n<\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><strong>Indemnification<\/strong><span style=\"font-weight: 400;\">.<\/span>\n<ol>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">Pockethealth shall indemnify, defend and hold harmless the Customer and its directors, officers and employees (each a \u201c<\/span><strong>Customer Indemnitee<\/strong><span style=\"font-weight: 400;\">\u201d) from and against any and all losses, damages, liabilities, costs and expenses (including reasonable legal fees) (collectively, \u201c<\/span><strong>Losses<\/strong><span style=\"font-weight: 400;\">\u201d) incurred by the Customer Indemnitee(s) resulting from any third-party claim, suit, action or proceeding (collectively, \u201c<\/span><strong>Claims<\/strong><span style=\"font-weight: 400;\">\u201d) resulting from or arising out of:<\/span>\n<ol>\n<li style=\"font-weight: 400;\" aria-level=\"3\"><span style=\"font-weight: 400;\">PocketHealth\u2019s breach of Privacy Laws;<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"3\"><span style=\"font-weight: 400;\">PocketHealth\u2019s gross negligence or more culpable act or omission (including recklessness or wilful misconduct); or<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"3\"><span style=\"font-weight: 400;\">the Services infringing or misappropriating the third party\u2019s intellectual property rights; provided that, Customer promptly notifies PocketHealth in writing of the Claim, cooperates with PocketHealth, and allows PocketHealth sole authority to control the defense and settlement of the Claim.<\/span><\/li>\n<\/ol>\n<p>PocketHealth\u2019s obligations set forth in subsection (iii) above do not apply with respect to the Services, or any part thereof (A) that are not provided by, or authorized by PocketHealth in writing (including services provided by third parties), (B) that are combined with other products (including Customer\u2019s services), processes or materials that are not reasonably contemplated by PocketHealth or the Documentation, (C) that are modified by persons other than PocketHealth, or (D) where Customer\u2019s use of or access to the Services is not in accordance with this Agreement or the Documentation. If Customer\u2019s use of the Services has become, or in PocketHealths opinion is likely to become, the subject of any Claim contemplated by subsection (iii) above, PocketHealth may, at its option and expense, (x) modify or replace the Services, or component thereof, to make it non-infringing, or (y) obtain the right for Customer to continue use. If PocketHealth, in its sole discretion, determines that options (x)-(y) are not commercially practicable, PocketHealth may immediately terminate this Agreement in its entirety or with respect to the affected component or part, on written notice to Customer, and refund Customer any prepaid, unused Fees for the remainder of the then-current Service Term(s).<\/li>\n<li style=\"font-weight: 400;\" aria-level=\"3\"><span style=\"font-weight: 400;\">Customer shall indemnify, defend and hold harmless PocketHealth, its affiliates, and each of their respective directors, officers and employees (each a \u201c<\/span><strong>PocketHealth Indemnitee<\/strong><span style=\"font-weight: 400;\">\u201d) from and against any and all Losses incurred by the PocketHealth Indemnitee(s) resulting from any Claim resulting from or arising out of:<\/span>\n<ol>\n<li style=\"font-weight: 400;\" aria-level=\"3\"><span style=\"font-weight: 400;\">Customer\u2019s or any User\u2019s breach of Privacy Laws;<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"3\"><span style=\"font-weight: 400;\">Customer\u2019s or any User\u2019s use of the Services or the Platform in a manner not authorized by this Agreement, including a breach of Section 5 or Section 9(g);<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"3\"><span style=\"font-weight: 400;\">Customer\u2019s or any User\u2019s breach of its obligations with respect to Customer Data, including the Customer Data infringing or misappropriating the third-party\u2019s intellectual property rights or privacy rights;<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"3\"><span style=\"font-weight: 400;\">PocketHealth\u2019s use of the Customer Marks in connection with the White-Labeled Services (if applicable); or<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"3\"><span style=\"font-weight: 400;\">Customer\u2019s or any User\u2019s gross negligence or more culpable act or omission (including recklessness or wilful misconduct).<\/span><\/li>\n<\/ol>\n<\/li>\n<li style=\"font-weight: 400;\" aria-level=\"3\"><span style=\"font-weight: 400;\">Each Party\u2019s obligations under this Section are conditioned on the indemnified Party (i) providing the indemnifying Party with prompt written notice of any Claim (provided that the indemnified Party\u2019s failure to provide prompt written notice shall only relieve the indemnifying Party of its indemnification obligations hereunder to the extent such failure materially limits or prejudices the indemnifying Party\u2019s ability to defend or settle such Claim), (ii) granting the indemnifying Party the sole control of the defense and settlement of the Claim, and (iii) providing reasonable information and assistance to the indemnifying Party in the defense or settlement of the Claim at the indemnifying Party\u2019s expense. The indemnified Party may participate in a Claim with its own counsel at its own expense. The indemnifying Party may not settle any Claim that requires the indemnified Party to admit fault or pay any amounts without written consent signed by an authorized officer of the indemnified Party, not to be unreasonably withheld or delayed. Notwithstanding anything else to the contrary in this Agreement, any obligation of indemnifying Party to defend, indemnify and hold the other Party harmless hereunder is limited to the indemnifying Party\u2019s payment for (A) the cost of defense of Party, and (B) any settlements agreed to by the indemnifying Party in writing signed by an officer of the indemnifying Party or final judgments awarded to the third party claimant by a court of competent jurisdiction.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"3\"><span style=\"font-weight: 400;\">NOTWITHSTANDING ANYTHING TO THE CONTRARY IN THIS AGREEMENT, THIS SECTION STATES EACH PARTY\u2019S ENTIRE RESPONSIBILITY, AND THE OTHER PARTY\u2019S SOLE AND EXCLUSIVE REMEDY WITH RESPECT TO INFRINGEMENT, MISAPPROPRIATION OR VIOLATION OF A THIRD PARTY\u2019S INTELLECTUAL PROPERTY RIGHTS UNDER THIS AGREEMENT.<\/span><\/li>\n<\/ol>\n<\/li>\n<li style=\"font-weight: 400;\" aria-level=\"3\"><strong>Limitation of Liability<\/strong><span style=\"font-weight: 400;\">.<\/span>\n<ol>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">Subject to subsection (d) below, neither Party will be liable to the other Party or to any third party under any legal or equitable theory, including breach of contract, tort (including negligence), strict liability and otherwise, for any (i) special, indirect, incidental, exemplary, consequential, aggravated or punitive damages, (ii) increased costs, diminution in value, or lost business, production, revenues, or profits, (iii) loss of goodwill or reputation, (iv) use, inability to use, loss, interruption, delay or recovery of any data, or breach of data or system security, or (v) cost of replacement goods or services.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">Subject to subsection (d) below, in no event will a Party\u2019s aggregate liability arising out of or related to this Agreement under any legal or equitable theory, including breach of contract, tort (including negligence), strict liability, and otherwise exceed the total amounts paid or payable to Pockethealth under this Agreement in the 12 month period immediately preceding the date of the claim.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">All limitations on each Party\u2019s liability set forth in this Section will apply whether or not a Party has been advised of the possibility of such losses or damages, or whether such losses or damages were foreseeable, and notwithstanding the failure of any agreed or other remedy of its essential purpose.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">NOTWITHSTANDING ANYTHING TO THE CONTRARY IN THIS AGREEMENT, EACH PARTY\u2019S LIABILITY UNDER SUBSECTIONS (a) AND (b) ABOVE WILL NOT APPLY TO LOSSES OR DAMAGES ARISING FROM (i) CUSTOMER\u2019S OBLIGATIONS UNDER OR BREACH OF SECTION 5, (ii) EITHER PARTY\u2019S OBLIGATIONS UNDER SECTION 10 AND\/OR SECTION 11, (iii) A PARTY\u2019S OBLIGATIONS UNDER SECTION 13, OR (iv) EITHER PARTY\u2019S GROSS NEGLIGENCE OR MORE CULPABLE ACT OR OMISSION (INCLUDING RECKLESSNESS OR WILFUL MISCONDUCT). NOTWITHSTANDING ANYTHING TO THE CONTRARY HEREUNDER, INCLUDING THE LIMITATIONS ON LIABILITY UNDER SUBSECTIONS (a) and (b) ABOVE, EACH PARTY\u2019S LIABILITY FOR THE LOSSES OR DAMAGES DESCRIBED IN SUBSECTIONS (i)-(iv) HEREOF WILL NOT EXCEED $1,000,000 UNITED STATES DOLLARS.<\/span><\/li>\n<\/ol>\n<\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><strong>Insurance<\/strong><span style=\"font-weight: 400;\">. PocketHealth will obtain and maintain at its sole cost and expense during the term of this Agreement insurance coverage that is commercially reasonable and consistent with industry standards.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><strong>Publicity<\/strong><span style=\"font-weight: 400;\">. Customer will meaningfully support PocketHealth’s efforts to publicize the benefits of their partnership and highlight the benefits for Patients. Customer authorizes PocketHealth to use the Customer Marks in connection with promotional, marketing, sales and public relations activities (for example, in press releases, proposals and pitch decks). If requested by PocketHealth, Customer shall cooperate with PocketHealth in marketing-related activities, which may include media interviews, webinars, co-authoring bylines, keynotes and presentations at industry events, participation in PocketHealth\u2019s events, testimonials and case studies (including providing PocketHealth with information suitable for public dissemination regarding product performance, such as cost and time savings metrics).<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><strong>Beta Features<\/strong><span style=\"font-weight: 400;\">. From time to time, PocketHealth may make certain functionality, features, software, or services related to the Services which are designated as beta, pilot, limited release, non-production, or by a similar description (each, a “<\/span><strong>Beta Feature<\/strong><span style=\"font-weight: 400;\">“) available to Customer. Beta Features may be used by Customer in Customer\u2019s sole discretion. Beta Features are intended for evaluation purposes only. PocketHealth may discontinue Beta Features at any time in PocketHealth\u2019s sole discretion and may choose to never make them generally available. BETA FEATURES ARE CONSIDERED PART OF THE SERVICES, HOWEVER, NOTWITHSTANDING ANYTHING TO THE CONTRARY IN THIS AGREEMENT, BETA FEATURES ARE PROVIDED \u201cAS-IS\u201d WITHOUT ANY WARRANTIES, DEFENSE OR INDEMNIFICATION OBLIGATIONS, SUPPORT OBLIGATIONS, OR LIABILITY FOR ANY HARM OR DAMAGE ARISING OUT OF OR IN CONNECTION WITH USE OF THE BETA FEATURES.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><strong>Force Majeure<\/strong><span style=\"font-weight: 400;\">. Neither Party will be liable by reason of any failure or delay in the performance of its obligations (except for payment obligations) on account of events beyond the reasonable control of a Party that make it impossible or commercially impracticable for such Party to perform its obligations hereunder, which may include failure by a third-party hosting provider or utility provider, strikes (provided that such strike does not involve the employees of the Party failing to perform), shortages, pandemics, riots, fires, acts of God, war, terrorism, and governmental action. Each Party shall use commercially reasonable efforts to provide the other Party with notice of any such events and recommence performance as soon as is practicably possible.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><strong>Further Assurances<\/strong>. Each Party shall, upon the reasonable request, and at the sole cost and expense of the other Party, execute such documents and perform such acts as may be necessary to give full effect to the terms of this Agreement.<\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><strong>Relationship of the Parties<\/strong><span style=\"font-weight: 400;\">. The Parties are independent contractors. This Agreement does not create a partnership, franchise, joint venture, agency, fiduciary, or employment relationship between the Parties. Neither Party shall have authority to contract for or bind the other Party in any manner whatsoever.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><strong>No Third-Party Beneficiaries<\/strong><span style=\"font-weight: 400;\">. This Agreement is for the sole benefit of the Parties and their respective permitted successors and assigns and nothing herein, express or implied, is intended to or shall confer upon any other person any legal or equitable right, benefit, or remedy of any nature whatsoever under or by reason of this Agreement.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><strong>Notices<\/strong><span style=\"font-weight: 400;\">. Notices or other communications under this Agreement shall be in writing, and shall be sent by email and deemed to have been duly given the business day after being sent (with confirmation of transmission), provided that no undeliverable message is received by the sender. All such communications to PocketHealth must be sent to legal@pocket.health, and all such communications to Customer must be sent to the email(s) provided on the applicable Order Form(s).<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><strong>Amendments<\/strong><span style=\"font-weight: 400;\">. No amendment to or modification of this Agreement is effective unless it is in writing and signed by an authorized representative of each Party.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><strong>Waiver. <\/strong><span style=\"font-weight: 400;\">No waiver by any Party of any of the provisions hereof will be effective unless explicitly set forth in writing and signed by the Party so waiving. Except as otherwise set forth in this Agreement, (a) no failure to exercise, or delay in exercising, any rights, remedy, power, or privilege arising from this Agreement will operate or be construed as a waiver thereof, and (b) no single or partial exercise of any right, remedy, power, or privilege hereunder will preclude any other or further exercise thereof or the exercise of any other right, remedy, power, or privilege.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><strong>Severability. <\/strong><span style=\"font-weight: 400;\">If any provision of this Agreement is invalid, illegal, or unenforceable in any jurisdiction, such invalidity, illegality, or unenforceability will not affect any other term or provision of this Agreement or invalidate or render unenforceable such term or provision in any other jurisdiction.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><strong>Assignment; Successors and Assigns<\/strong>. Neither Party will assign or delegate any of its rights or obligations hereunder, whether by operation of law or otherwise, without the prior written consent of the other Party (not to be unreasonably withheld or delayed). Notwithstanding the foregoing, either Party may assign this Agreement in its entirety, without the consent of the other Party, in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all the assigning Party\u2019s assets, unless the assignment is to a direct competitor of the non-assigning Party. Any purported assignment in violation of this Section is void. No assignment or delegation will relieve the assigning or delegating Party of any of its obligations hereunder. This Agreement is binding upon and inures to the benefit of the Parties and their respective permitted successors and assigns.<\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><strong>Entire Agreement; Order of Precedence<\/strong><span style=\"font-weight: 400;\">. This Agreement, together with any other documents incorporated herein by reference and all related Order Form(s), Statement(s) of Work, exhibits, schedules, attachments, or appendices, constitutes the sole and entire agreement of the Parties with respect to the subject matter of this Agreement and supersedes all prior and contemporaneous understandings, agreements, and representations and warranties, both written and oral, with respect to such subject matter. In the event of any inconsistency or conflict between the terms and provisions of this Agreement and those of any exhibits, schedules, attachments, or appendices, the following order of precedence shall govern: (a) first, the BAA, (b) second, the applicable Order Form, including its exhibits, schedules, attachments and appendices, and (c) third, this Agreement.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><strong>Governing Law<\/strong><span style=\"font-weight: 400;\">. This Agreement shall be governed by, construed and interpreted in accordance with the Laws of the Province of Ontario and federal Laws of Canada applicable therein. The Parties hereby irrevocably attorn to the exclusive jurisdiction of the courts of the Province of Ontario. The Parties irrevocably and unconditionally waive any objection to the venue of any action or proceeding in such courts and irrevocably waive and agree not to plead or claim in any such court that any such action or proceeding brought in any such court has been brought in an inconvenient forum. Each Party also hereby waives any right to jury trial in connection with any action or litigation in any way arising out of or related to this Agreement.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"2\"><strong>Counterparts and Electronic Transmission<\/strong><span style=\"font-weight: 400;\">. This Agreement may be executed in counterparts, each of which is deemed an original, but all of which together are deemed to be one and the same agreement. A signed copy of this Agreement delivered by email or other means of electronic transmission is deemed to have the same legal effect as delivery of an original signed copy of this Agreement.<\/span><\/li>\n<\/ol>\n","protected":false},"excerpt":{"rendered":"<p>This Master Services Agreement (this \u201cAgreement\u201d) is by and between PocketHealth Inc.
